END-USER LICENSE AGREEMENT (EULA)

Effective Date: 9 July 2025

This EULA is a legal agreement between you (“Licensee”) and Local Password Vault. By installing or using the Software you agree to all terms below.

1. License Grant
LPV grants you a personal, nonexclusive, nontransferable license to install and run:
– Solo License: one copy on one device.
– Family/Team License: up to three devices within your small team.
– Pro License: up to six devices with your organization.
– Business License: up to ten devices within one business entity.

2. Restrictions
You may not:
– Share, lease, sublicense, or resell the Software or license keys.
– Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code.
– Modify, hack, or create derivative works of the Software.
– Circumvent security or license-management features.

3. Ownership
The Software is licensed, not sold. LPV retains all intellectual-property rights.

4. Updates
LPV may provide optional updates. Installing an update means the updated version is also covered by this EULA.

5. Termination
This license ends automatically if you breach any term. Upon termination you must stop all use and delete all copies.

6. Disclaimer of Warranty
The Software is provided “as is” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You bear the entire risk of using it.

7. Limitation of Liability
LPV’s total liability under any theory of law will not exceed the license fee actually paid. LPV will not be liable for indirect, incidental, special, consequential, or punitive damages.

8. Governing Law
This EULA is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Exclusive venue for any dispute is a state or federal court located in Dallas County, Texas. You consent to personal jurisdiction there.

9. Severability
If any provision is found unenforceable, the remaining provisions will remain in effect.

10. Entire Agreement
This EULA constitutes the entire agreement between you and LPV concerning the Software and supersedes all prior understandings.
